Welcome to XFunge. By using our website, app, or services, you agree to these Terms & Conditions. Please read them carefully.

1. About Us

XFunge (“we,” “us,” “our”) provides digital memberships, event tickets, redeemables, and digital wallet services. You can contact us at:

 

2. Acceptance of Terms

By accessing or using XFunge, you agree to these terms, our Privacy Policy, and any other policies we publish. If you do not agree, do not use our services.

 

3. Eligibility

  • You must be at least 18 years old (or the age of majority in your country).

  • You must provide accurate information when registering.

  • You are responsible for maintaining the security of your account credentials.

 

4. Services

XFunge offers:

  • Digital memberships: Access to services, content, or perks.

  • Event tickets: Redeemable for entry to events.

  • Redeemables: Digital vouchers or coupons that can be redeemed for goods or services.

  • Digital wallets/NFTs: Storage and management of digital items.

Important:

  • All digital items are non-transferable unless otherwise stated.

  • Access may be subject to availability and may change from time to time.

 

5. Subscription & Billing

Plans & Tokens

Throughout the term “token” is used. This refers to every individual Membership Card, Event Ticket or Redeemable. Each token is digitally unique, and is minted as an NFT and stored on the blockchain so it cannot be altered after creation.

Plans are set out as follows:

Basic Plan
Designed for casual users needing up to 100 Membership Cards, Event Tickets or Redeemables per year.
$1.00 +GST per month with a 30 day free trial. This is charged on the anniversary of when you signed up. Free trial does not include the cost of any tokens used.
$3.00 +GST per token. This is collated on the 20th of the month and charged on the last day of the month.

 

Standard Plan
Designed for Clubs and Businesses needing 100 to 1000 Membership Cards, Event Tickets or Redeemables per year.
$20.00 +GST per month with a 30 day free trial. This is charged on the anniversary of when you signed up. Free trial does not include the cost of any tokens used.
$1.20 +GST per token. This is collated on the 20th of the month and charged on the last day of the month.

 

Premium Plan
Designed for Clubs and Businesses needing 1000 or more Membership Cards, Event Tickets or Redeemables per year.
$40.00 +GST per month with a 30 day free trial. This is charged on the anniversary of when you signed up. Free trial does not include the cost of any tokens used.
$1.02 +GST per token. This is collated on the 20th of the month and charged on the last day of the month.

 

Access to the merchant portal will remain available while monthly subscription is up to date. If a payment is missed, you will have more opportunities to make payment.
 

If a subscription goes a month without payment access will be cancelled and all tokens will no longer be available to customers.

 

Payments & Billing

  • Payments are processed via [Stripe/other payment providers].

  • Prices are displayed in NZD, exclusive of GST.

  • Subscription services may auto-renew unless canceled before the renewal date.

  • Refunds are only provided as described in our Refund Policy.

  • Users are responsible for any applicable taxes.

 

Free Trials & Promotions

  • Free trials automatically convert to paid subscriptions unless canceled.

  • Only one trial per user/email unless stated otherwise.

  • Promotions may have additional terms.

 

Cancellation

  • To cancel your subscription, you must contact us at info@xfunge.com.

  • XFunge may suspend or terminate accounts for misuse, non-payment, or violation of these terms.

  • Digital items may be revoked upon termination, depending on the service.

 

6. User Responsibilities

  • Use the service lawfully and responsibly.

  • Do not attempt to hack, reverse engineer, or misuse XFunge.

  • You are responsible for securing your private keys or login credentials.

  • You are responsible for any content you upload or share.

 

7. Intellectual Property

  • All content, logos, designs, and software remain the property of XFunge.

  • Users are granted a limited, non-exclusive license to use our services for personal purposes.

  • You may not reproduce, distribute, or sell our content without permission.

 

8. Liability & Disclaimers

  • XFunge provides services “as is” and does not guarantee uninterrupted access.

  • We are not responsible for losses caused by user error, third-party services, or events beyond our control.

  • Our liability is limited to the amount you have paid us in the last 12 months.

 

9. Privacy & Data

  • We collect and use your data as described in our Privacy Policy.

  • By using XFunge, you consent to this collection and use.

 

10. Governing Law & Dispute Resolution

  • These terms are governed by the laws of New Zealand.

  • Disputes will be handled by New Zealand courts unless otherwise agreed.

 

11. Changes to Terms

  • We may update these Terms & Conditions at any time.

  • Changes are effective immediately upon posting on our website or app.

  • Continued use of XFunge after updates constitutes acceptance.
